RDB has extensive experience and knowledge in all aspects of real estate transactions, including acquisition, development, and financing transactions of real property. Our practice is full service, providing both transactional and litigation capabilities.

We have been helping clients buy, sell, lease, develop, finance, and restructure real estate for decades. We cover the industry from all sides, including development projects, equity participation, as well as the most complex REIT and 1031 transactions. Our clients include real estate developers, owners, operators, managers, and lenders of all sorts, and involve public and privately held companies, REITS, real estate brokerages and management companies, real estate investment funds, and lending and financial institutions.

In addition, our litigators have handled a wide variety of commercial real estate lawsuits involving condemnation proceedings, development fee protests with municipalities, lender disputes, management contract terminations, protecting real estate rights, and coastal zone regulation disputes. Capabilities of our practice include:

  • Acquisition. We regularly negotiate and prepare acquisition and lease documentation, and perform due diligence analysis for residential development and commercial real estate acquisitions, including planned residential communities, industrial parks, office complexes, and retail shopping centers. RDB lawyers enhance our clients’ due diligence teams by providing a comprehensive review and analysis of a wide range of acquisition issues, such as title, survey, easements, licenses, zoning, land use, lease analysis, and environmental matters.
  • Development. RDB is actively involved in large-scale commercial real estate development and redevelopment projects in a number of major cities across the United States. RDB provides comprehensive legal services in connection with the construction and development of urban redevelopment and revitalization projects, including neighborhood shopping centers, power centers, regional malls, entertainment and retail centers, and commercial office and industrial business parks. Additionally, our real estate attorneys have specialized experience in the development of master planned residential communities, having handled all legal aspects of such developments. In conjunction with such commercial and residential development projects, RDB works closely with the developer in defining the construction and development issues and formulating a strategic plan for resolving those issues, such as land use, zoning, entitlements, governmental subsidies, wetlands, sensitive habitat, and hazardous materials remediation.
  • Financing. RDB represents lenders and borrowers throughout the United States. RDB has extensive experience in the review, negotiation, and preparation of complex residential and commercial real estate loan documents and related security instruments.
  • Litigation. Our real estate litigation team has an unparalleled depth of experience. RDB attorneys have argued cases in the Supreme Court of the United States, virtually every United States Court of Appeals, numerous state appellate courts, and federal and state trial courts throughout the country, and our litigators have represented real estate clients throughout the country.

In the course of representing lenders, developers, and other owners of real property, RDB is continuously engaged in a full range of real estate-related activities, including real estate partnership and LLC organization; operation, management and dissolution; acquisition and sales, financing, refinancing, construction, take-out, and permanent financing; real estate loan restructuring, work-outs, and foreclosures; development supervision and management arrangements; real estate leasing; debt, bankruptcy, and foreclosure counseling.
