Michael J. Whitton has extensive experience working on a variety of sophisticated and complex real estate and business transactions throughout the country. He is a partner in Ross, Dixon & Bell, LLP’s San Diego office and leads RDB’s Business Transactions Practice Group. He is AV® Peer Review Rated by Martindale-Hubbell and has been singled out by clients and his peers as “an outstanding transactional real estate attorney” in Chambers USA 2007 Leading Lawyers for Business.
Mr. Whitton’s experience includes advising and counseling a national clientele of public and private companies, real estate investment trusts, and lending and financial institutions. He negotiates and drafts complex purchase agreements, loan documents, operating agreements and partnership agreements, many of which contain sophisticated finance, capital contribution, profit participation and distribution provisions. Mr. Whitton represents a leading self storage company in California, in acquiring over $100 million in assets through joint ventures and financing deals. He also represents another client in acquiring portfolios of service stations in major markets throughout the Southwestern United States from a global petrochemical company.
Mr. Whitton provides comprehensive legal services in all phases of real estate development, including the negotiation and documentation of development agreements, management agreements, and reciprocal easement agreements. In 2007, Mr. Whitton handled all aspects of the development of a 37-acre office campus in Riverside County, California, and development of a shopping center and a sewage treatment facility expansion in Valley Center, California. Both projects included the acquisition of land, joint venture financing, development agreements and CCRs, complex ground leases and retail office leases. Mr. Whitton also handled the dismantling and dissolution of a $200 million petroleum coke terminal in the port of Los Angeles, which required over a year and a half of complex negotiations with labor groups, the operating management company, equipment lessors, salvage purchasers, the tax assessor, and environmental agencies.
Mr. Whitton is considered one the leading experts in the acquisition, development, and financing of golf courses and country clubs, hotels, marinas, and other resort properties. He devotes a significant portion of his practice to working on transactions for nationally recognized golf course developers and operators. In the past year he has worked on the sale and acquisition of a number of golf courses in the western United States, including the acquisition of the 36-hole Southern California PGA Golf Course in Beaumont, California. Mr. Whitton also consults with club owners on the implementation or restructuring of their membership programs.
Prior to developing his transactional practice, Mr. Whitton handled a variety of general civil litigation matters, with special emphasis in the areas of real estate, business, government contracts and labor and employment law. He has experience representing both plaintiffs and defendants, and currently handles and supervises litigation and dispute resolution matters.
In addition to his work with the firm, Mr. Whitton sits on a number of corporate boards of directors, and provides advice and other services to entrepreneurs and small business owners in an effort to enhance the success of small businesses.
